These Terms of Service ("Terms") govern access to and use of the website, educational content, diagnostics, tutoring, coaching, mentorship, research guidance, technical instruction, online lessons, and related services provided by Pristone Academy LLC ("Pristone Academy," "Pristone," "we," "us," or "our").

By purchasing, booking, enrolling in, or using a paid Service, or by otherwise indicating acceptance of these Terms, you agree to be bound by them.

If you are accepting these Terms for a minor, you represent that you are the minor's parent or legal guardian, or that you otherwise have lawful authority to accept these Terms for the minor.

1. The Services

Pristone provides educational and capability-development services that may include:

• paid diagnostics;
• academic tutoring;
• mathematics and competition coaching;
• GRE and other test-preparation coaching;
• computer science and programming instruction;
• artificial intelligence and machine-learning instruction;
• system design and technical interview coaching;
• engineering and career-development mentorship;
• coding and AI project mentorship;
• research mentorship;
• educational reports, lesson summaries, recommendations, practice materials, and feedback; and
• free educational content made available through the Pristone website.

Specific scope, cadence, pricing, duration, deliverables, and support levels may be stated on a program page, checkout page, invoice, proposal, email, or separate written engagement terms.

If engagement-specific written terms conflict with these Terms, the engagement-specific terms control for that engagement.

2. Educational Service, Not a Guaranteed Outcome

Pristone provides instruction, coaching, feedback, diagnostic judgment, and mentorship. Results depend on many factors outside Pristone's control, including the learner's preparation, effort, practice, attendance, health, test conditions, admissions decisions, employer decisions, competition performance, market conditions, and third-party evaluation.

Pristone does not guarantee:

• a particular grade or test score;
• AMC, AIME, or other competition qualification;
• admission to a school, university, program, or research opportunity;
• publication or acceptance of research;
• a job, interview, offer, promotion, or compensation level;
• certification or licensing;
• a particular project outcome; or
• any other result controlled by a third party.

A diagnostic is a good-faith educational assessment based on the information and performance available at the time. It is not a guarantee of future performance.

3. Eligibility and Minors

3.1 Adults

An adult learner must have legal capacity to enter into these Terms.

3.2 Minors

Pristone works with minors. A parent or legal guardian is responsible for:

• authorizing the minor's participation;
• providing accurate enrollment and contact information;
• handling payment unless otherwise agreed;
• ensuring the minor has appropriate technology and supervision for remote lessons;
• communicating material scheduling, safety, or accessibility needs; and
• reviewing engagement-specific terms.

A child under 13 may not independently enroll in a paid Pristone service or knowingly provide personal information directly to Pristone without appropriate parent or guardian involvement.

3.3 Parent Visibility

For minors, Pristone may provide a parent or guardian with scheduling information, diagnostics, phase outputs, progress summaries, concerns about fit or participation, and other information reasonably connected to the engagement.

At the same time, Pristone may preserve an age-appropriate space for the student to work independently, make mistakes, ask questions, and develop ownership.

4. Diagnostics and Placement

Many Pristone services begin with a paid diagnostic.

A diagnostic may be used to:

• identify skill gaps;
• determine readiness;
• evaluate fit;
• recommend a learning pathway;
• recommend a different starting point;
• recommend a different cadence or scope; or
• conclude that a particular Pristone program is not appropriate at that time.

Purchasing a diagnostic does not guarantee admission to a longer program.

5. Scheduling, Rescheduling, Cancellations, and No-Shows

Unless different terms are confirmed in writing for a specific engagement:

• a session may be rescheduled with at least 24 hours' notice at no additional charge;
• a cancellation made at least 24 hours before the scheduled session may be rescheduled or handled according to the applicable engagement terms;
• a cancellation made less than 24 hours before the scheduled session generally counts as a used session;
• a no-show generally counts as a used session; and
• Pristone may make a reasonable emergency exception when circumstances justify it.

For long-term or specialized engagements, additional notice, pause, termination, or review rules may be stated in writing and will control for that engagement.

If Pristone must cancel a session, the session will not be charged as a completed session and will ordinarily be rescheduled or credited.

6. Fees, Packages, and Payments

Prices may vary by service, instructor, program, duration, platform, or engagement.

You agree to pay the fees disclosed before purchase.

Pristone may offer:

• single sessions;
• diagnostics;
• prepaid packages;
• multi-session engagements;
• recurring arrangements;
• project or research mentorship packages; or
• other written pricing structures.

Unless otherwise stated in writing:

• payment is due as disclosed at checkout, on the invoice, or in the engagement terms;
• completed sessions are non-refundable;
• sessions treated as used under the late-cancellation or no-show policy are non-refundable;
• treatment of unused prepaid sessions is governed by the applicable engagement terms and applicable law; and
• taxes or platform fees imposed by a payment or marketplace provider may be added where applicable.

If a service is purchased through a third-party marketplace or platform, that platform's payment, fee, refund, dispute, and scheduling rules may also apply.

7. Service-Scope Concerns

Pristone aims to describe its services accurately.

If you believe a paid session materially differed from its published or agreed scope, contact Pristone at info@pristoneacademy.com within 48 hours of the session and explain the issue. Pristone will review the concern and, where appropriate, propose a reasonable correction, which may include clarification, supplemental material, a credit, rescheduling, or another appropriate remedy.

This provision does not create a guarantee of satisfaction, score improvement, employment outcome, admission, publication, or any other third-party result.

8. Learner Responsibilities

The learner is expected to:

• attend prepared and on time;
• make a genuine attempt at assigned or discussed work;
• communicate confusion or constraints;
• complete appropriate independent practice;
• protect meeting links and account credentials;
• use Pristone's services lawfully and respectfully; and
• remain the genuine author of work submitted under the learner's name.

Progress depends in part on the learner's active participation and independent application.

9. Academic Integrity and Authorship

Pristone teaches, explains, reviews, questions, critiques, and mentors. Pristone does not provide impersonation or academic fraud services.

Pristone will not knowingly:

• take a graded exam for a learner;
• impersonate a learner;
• submit work while falsely representing Pristone's work as the learner's own;
• complete an assessed assignment when doing so would violate the applicable academic rules;
• fabricate data, research results, citations, credentials, or achievements; or
• assist in concealing material authorship or prohibited AI use.

For projects and research, the learner is expected to understand, defend, and take ownership of the work.

Where a school, research program, employer, competition, or publication requires disclosure of AI or external assistance, the learner is responsible for making the required disclosure.

10. Research Mentorship

Research mentorship is educational guidance, not ghostwriting, authorship-for-hire, laboratory certification, medical advice, or a publication service.

Unless different terms are agreed in writing:

• the student owns the student's original work and code;
• Pristone teaches method, reviews work, asks questions, and provides feedback;
• the student remains responsible for the research question, implementation, analysis, conclusions, and final written work;
• publication is not guaranteed;
• outside domain review may be required for claims beyond Pristone's area of expertise; and
• projects should use public, properly licensed, deidentified, or otherwise authorized data.

Learners may not provide Pristone with restricted personal data, confidential datasets, protected health information, proprietary school data, or other regulated information without advance written approval and a lawful basis.

11. Professional Coaching and Confidential Information

Professional learners must not disclose information they are not authorized to share.

Before using employer, customer, interview, production, or workplace material in a Pristone session, remove or replace confidential details such as:

• employer or customer names where unnecessary;
• credentials and secrets;
• proprietary code;
• internal architecture diagrams;
• nonpublic metrics;
• security details;
• restricted datasets;
• trade secrets; and
• personally identifiable customer or employee information.

A deidentified or hypothetical scenario is ordinarily sufficient to practice the same technical judgment.

12. Artificial Intelligence Tools

Pristone may use AI-assisted tools in its educational or administrative workflow, including to help organize lesson notes, generate practice material, summarize lessons, categorize errors, or support diagnostics.

Pristone remains responsible for human instructional judgment. AI-generated content may contain errors and should not be treated as authoritative without review.

Learners remain responsible for complying with the AI-use rules of their school, employer, competition, publication, or other governing institution.

13. Videoconferencing, Participation Data, and Recording

Pristone may use Zoom or another approved videoconferencing platform to deliver lessons.

The platform or Pristone's systems may process meeting information such as participant names, join and leave times, attendance duration, chat, files intentionally shared, or other lesson-participation information.

Pristone may use approved meeting artifacts to generate lesson summaries or progress records.

For minors, Pristone records a session only with the written consent of the parent or guardian and the student. If either prefers no recording, Pristone will not record the session.

Users may not secretly record, publish, livestream, redistribute, or commercially exploit a Pristone lesson without prior written permission, except where applicable law expressly permits recording notwithstanding contractual restrictions.

14. Privacy

Pristone's collection and use of personal information is described in the Pristone Academy LLC Privacy Policy.

By using the Services, you acknowledge that information will be handled as described in that policy and any additional notices or consents that apply to the engagement.

15. Intellectual Property

15.1 Pristone Materials

Except for learner-owned work and third-party material, Pristone retains all rights in its original:

• curriculum;
• frameworks;
• diagnostic methods;
• lesson structures;
• written explanations;
• worksheets;
• diagrams;
• videos;
• templates;
• reports;
• educational software;
• website content;
• branding; and
• other instructional materials.

Pristone grants the paying learner a limited, personal, non-exclusive, non-transferable license to use materials provided as part of the engagement for the learner's own educational and professional development.

Unless Pristone gives written permission, you may not:

• resell Pristone materials;
• publish paid Pristone materials as your own;
• create a competing commercial course from Pristone's proprietary materials;
• systematically scrape or reproduce protected Pristone content;
• distribute private lesson recordings; or
• remove copyright, trademark, or attribution notices.

15.2 Learner Work

The learner retains ownership of the learner's original code, solutions, writing, research, project artifacts, and other original work.

The learner grants Pristone a limited license to access, copy, display, and process that work only as reasonably necessary to provide the Services, review progress, administer the engagement, protect the parties, or comply with law.

Pristone will not publish identifying learner work as a testimonial, portfolio item, case study, or marketing artifact without an appropriate permission basis. For minors, parent or guardian authorization may also be required.

16. Testimonials, Case Studies, and Publicity

Pristone may describe general categories of work it teaches or mentors.

Pristone will not knowingly publish a learner's name, identifiable project, attributable testimonial, or private educational history as marketing material without appropriate permission.

Any case study is an example from a particular context and does not guarantee that another learner will achieve the same result.

17. Acceptable Use

You may not use the Services to:

• violate law;
• harass, threaten, exploit, or abuse another person;
• commit academic fraud;
• infringe intellectual property rights;
• distribute malware or malicious code;
• attempt unauthorized access to Pristone systems;
• interfere with the operation or security of the Services;
• upload credentials, secrets, or data you are not authorized to disclose;
• create or distribute deceptive credentials or fabricated achievements; or
• use Pristone's materials to misrepresent Pristone's endorsement, affiliation, or authorship.

Pristone may restrict or terminate access for material violations.

18. Third-Party Services

The Services may rely on or link to third-party platforms, including videoconferencing, payment, scheduling, cloud hosting, code-hosting, review, or communications services.

Pristone does not control the independent operation of third-party services. Their separate terms and privacy policies may apply.

Pristone is not responsible for a third party's independent acts or outages except to the extent responsibility cannot lawfully be excluded.

19. Availability and Changes to the Services

Pristone may improve, modify, suspend, replace, or discontinue parts of the Services.

Pristone may also update curriculum, diagnostic methods, technical examples, platforms, software, instructors, scheduling practices, or program structures as reasonably necessary.

For a prepaid engagement, Pristone will not use this section to avoid delivering material services already promised without providing a reasonable substitute, credit, refund, or other remedy required by the applicable engagement terms or law.

20. Suspension and Termination

Pristone may suspend or terminate an engagement for reasons including:

• nonpayment;
• repeated no-shows;
• harassment or abusive conduct;
• academic fraud;
• security threats;
• misuse of Pristone materials;
• persistent violation of these Terms;
• unlawful activity; or
• a material breakdown in fit or working conditions.

Where reasonably practicable, Pristone will communicate the issue before termination.

A long-term engagement may have additional termination terms, including a notice period, stated in its written engagement terms.

Sections that by their nature should survive termination, including payment obligations, intellectual property, confidentiality, disclaimers, limitations of liability, and dispute provisions, will survive.

21. Disclaimers

To the fullest extent permitted by law, the Services and free educational content are provided on an "as is" and "as available" basis.

Pristone makes no warranty that:

• the Services will be uninterrupted or error-free;
• every explanation, AI-assisted output, website feature, or third-party tool will be free from error;
• a learner will achieve a particular academic, competition, research, admissions, employment, or financial outcome; or
• third-party platforms will remain continuously available.

Nothing in the Services constitutes legal, medical, mental-health, investment, tax, or other regulated professional advice unless Pristone separately agrees in writing to provide a service through a properly qualified professional.

Educational discussion of a technical, scientific, economic, or professional topic does not create a regulated professional-client relationship.

22. Limitation of Liability

To the fullest extent permitted by law, Pristone Academy LLC and its owners, employees, contractors, and agents will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising out of or related to the Services, including lost profits, lost opportunities, admissions decisions, test results, job outcomes, publication decisions, or loss of data.

To the fullest extent permitted by law, Pristone's aggregate liability arising out of a paid Service will not exceed the amount actually paid to Pristone for the specific Service or engagement giving rise to the claim during the six months preceding the event giving rise to liability.

These limitations do not apply to liability that cannot lawfully be excluded or limited.

Some jurisdictions do not permit certain exclusions or limitations, so portions of this section may not apply to you.

23. Indemnification

To the fullest extent permitted by law, an adult user, or the parent or guardian responsible for a minor's account, agrees to indemnify and hold harmless Pristone Academy LLC and its owners, employees, contractors, and agents from third-party claims, damages, losses, and reasonable costs arising from:

• the user's unlawful conduct;
• material violation of these Terms;
• infringement of another person's rights;
• unauthorized disclosure of confidential or restricted information; or
• misuse of the Services.

This section does not require indemnification for a claim caused by Pristone's own conduct to the extent such indemnification would be prohibited by law.

24. Governing Law and Venue

These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law principles, except where another jurisdiction's law must apply and cannot lawfully be waived.

Before filing a lawsuit, the parties agree to make a good-faith effort to resolve the dispute informally by written notice and reasonable discussion.

Unless applicable law requires otherwise, a legal action arising from these Terms or the Services must be brought in a state or federal court with jurisdiction over the county in Texas where Pristone Academy LLC maintains its principal office at the time the action is filed.

Nothing in this section prevents either party from seeking emergency injunctive relief where legally appropriate.

25. Consumer Rights

Nothing in these Terms waives a right or remedy that cannot lawfully be waived under applicable consumer-protection law.

If a provision of these Terms conflicts with a mandatory consumer right, the mandatory right controls to the extent of the conflict.

26. Changes to These Terms

Pristone may update these Terms to reflect changes in law, Services, technology, or business practices.

The version in effect when a paid engagement begins will ordinarily govern that engagement unless:

• the parties agree otherwise;
• an engagement-specific agreement states otherwise; or
• a change is required by law.

Material changes will be communicated in a manner reasonably appropriate to the relationship.

27. Severability

If any provision of these Terms is held invalid or unenforceable, the remaining provisions remain in effect to the fullest extent permitted by law.

An invalid provision will be interpreted or narrowed, where permitted, to best reflect its lawful purpose.

28. No Waiver

A failure by Pristone to enforce a provision of these Terms is not a waiver of the right to enforce it later.

29. Entire Agreement

These Terms, the Privacy Policy, and any applicable written engagement-specific terms form the agreement between you and Pristone concerning the Services they cover.

They supersede prior discussions or representations concerning the same subject matter, except for obligations that the parties expressly preserved in writing.
